The stakeholders and bone fide proprietors of System Twenty Two (Pty) Ltd and consequently Ideal Prepaid Botswana (Pty) Ltd confirm that urgent legal steps are being taken to protect client interests following misconduct and obstruction by David Musole Moanei, including disputed court filings and communications directed at clients. The growth and operational success of Ideal in Botswana has been materially supported by Holistic Technologies (Pty) Ltd. Since 2012 following its successful bid for the BPC tender, Holistic Technologies has continued its investment, product support, and expansion initiatives in Botswana. In 2017, as part of an initiative to promote citizen empowerment and local economic upliftment, Mr David Musole Moanei was promoted and facilitated into an ownership position, while the existing directors from Holistic Technologies (Pty) Ltd remained actively involved for several years thereafter. Mr Moanei’s appointment was conditional not only on the objective of local economic participation, but also on clear undertakings that established banking controls and corporate governance would be maintained, and that no material changes would be implemented prior to the repayment of any stakeholder loans, particularly those owed to Holistic Technologies (Pty) Ltd, which presently stand at approximately P30 million. |

| On 29th October 2025, to the shock and confusion of staff, Mr Moanei issued a notice purporting to sell the company, without any regard to creditors, outstanding loan obligations, or the undertakings he had given to financiers and stakeholders. Despite attempts to resolve the issue and the involvement of legal representatives no agreement was reached. In response thereto, Mr Moanei’s principal financier exercised its contractual option to acquire Mr Moanei’s shares in System Twenty Two (Pty) Ltd, transferring those interests in favour of an alternative citizen owned operation. In blatant disregard of governance requirements and his undertakings, Mr Moanei removed other directors and attempted to seize control of the company’s long standing established banking processes. The company’s position is that Mr Moanei is presently in breach by obstructing and frustrating the lawful transfer of shares, and is liable for substantial damages. While the dispute remains ongoing, Mr Moanei obtained an erroneous ex parte order purporting to confer sole control over banking operations, triggering escalating client frustration and acute uncertainty regarding the security, accessibility, and disposition of client funds. The company further alleges that Mr Moanei lodged filings with CIPA asserting unreasonable valuations and improper shareholdings, together with constitution related filings and record maintenance actions that were taken in breach of his undertakings. Mr Moanei’s reliance on a disputed CIPA record is misconceived. As a matter of company law and principle, internal corporate authority is derived from valid resolutions and the underlying instruments, and that CIPA registration is only a matter of recordal and evidentiary support, not the source of authority itself. The company notes that court and regulatory activity is ongoing and is in the process of formal prosecution motions. | ||||

All software developments with major retailers, together with pending bank integrations and eWallet providers, remain unaffected. Project milestones and scheduled release dates continue as planned without deviation. |
